Reliable and Industry Standard Terms

Non-Transferability: The Buyer may not transfer any benefits or obligations of the Contract without prior written consent from V&B Technologies.

Governing Law: This Contract is governed by the laws of India and specifically by the jurisdiction of the State Government of Gujarat.

International Sales Convention Exclusion: Unless otherwise agreed in writing, United Nations Convention on the International Sale of Goods does not apply to this agreement.

Intellectual Property Rights: V&B Technologies retains all copyrights and intellectual property rights for any software it develops. If any part of the software is sourced from a third party, the original owner of that software retains the rights. The Buyer is solely responsible for any duplication or distribution. V&B Technologies is not liable for any copyright violations.

Copyright Violations: The Buyer assumes full responsibility for ensuring they do not violate any intellectual property rights. V&B Technologies will not accept legal liability in such cases.

Backup and Damage: The Client is permitted to make one backup copy of the software for archival purposes. V&B Technologies is not responsible for any system damage that may occur during usage.

Transaction Liability: As a merchant, V&B Technologies is not responsible for any losses incurred due to declined transactions resulting from the cardholder exceeding their preset bank limit.

Regional Pricing: The pricing listed does not apply to the MENA (Middle East and North Africa) region. For region-specific pricing, please contact us directly.

Updates to Terms: V&B Technologies reserves the right to modify or update the terms, conditions, and notices that govern its website and services at any time, without prior notice. Users are encouraged to review these terms periodically.

Authority and Ownership Claims: No employee or agent of V&B Technologies is authorized to make ownership claims or legal commitments on behalf of the company unless such statements are explicitly confirmed in writing by an authorized representative.

Document Corrections: If V&B Technologies issues any documents containing errors, the company will correct them without assuming legal liability for the original error.

Order Confirmation Requirement: All orders must be formally accepted in writing by V&B Technologies before any processing or delivery can take place.

Product Specifications: Product specifications may change without prior notice in order to improve quality or performance.

Invoicing: Unless otherwise agreed in writing, V&B Technologies will issue an invoice to the Buyer after dispatching the goods.

Payment Deadline: The Buyer must pay the full invoiced amount by the due date specified. If no date is mentioned, payment is due within 7 days. Timely payment is a material condition of the contract.

Limitation of Financial Liability: V&B Technologies shall not be held liable for any financial losses including lost profits, special damages, or indirect costs.

Compliance Responsibility: The Buyer is responsible for ensuring compliance with all legal and regulatory obligations related to the use or resale of goods.

If the Buyer fails to make payment on time, V&B Technologies may take the following actions:

• Cancel the order or suspend deliveries.
• Apply payments at its discretion toward outstanding invoices.
• Charge interest on overdue amounts at a rate of X% above the prevailing Midland Bank base rate.

Billing for Completed Work: Any work completed before cancellation will be billed at the agreed hourly rate. If not stated, a standard rate applies.

Deduction from Initial Payment: The cost of completed work will be deducted from the initial payment.

Refund of Balance: Any remaining balance will be refunded to the Client.

Additional Charges for Extra Work: If work done exceeds the initial payment, the Client must pay the additional balance.

Refund Request Process: Clients must request refunds in writing. Verbal requests will not be accepted.
