General Terms and Conditions
Non-Transferability
The Buyer may not transfer any benefits or obligations of the Contract without prior written consent from V&B Technologies.
Governing Law
This Contract is governed by the laws of India and specifically by the jurisdiction of the State Government of Gujarat.
International Sales Convention Exclusion
Unless otherwise agreed in writing, United Nations Convention on the International Sale of Goods does not apply to this agreement.
Intellectual Property Rights
V&B Technologies retains all copyrights and intellectual property rights for any software it develops. If any part of the software is sourced from a third party, the original owner of that software retains the rights. The Buyer is solely responsible for any duplication or distribution. V&B Technologies is not liable for any copyright violations.
Copyright Violations
The Buyer assumes full responsibility for ensuring they do not violate any intellectual property rights. V&B Technologies will not accept legal liability in such cases.
Backup and Damage
The Client is permitted to make one backup copy of the software for archival purposes. V&B Technologies is not responsible for any system damage that may occur during usage.
Transaction Liability
As a merchant, V&B Technologies is not responsible for any losses incurred due to declined transactions resulting from the cardholder exceeding their preset bank limit.
Regional Pricing
The pricing listed does not apply to the MENA (Middle East and North Africa) region. For region-specific pricing, please contact us directly.
Modification of These Terms and Conditions
Updates to Terms
V&B Technologies reserves the right to modify or update the terms, conditions, and notices that govern its website and the services it provides at any time, without prior notice. Users are encouraged to review these terms periodically.
Authority and Ownership Claims
No employee or agent of V&B Technologies is authorized to make ownership claims or legal commitments on behalf of the company unless such statements are explicitly confirmed in writing by an authorized representative of V&B Technologies. The Buyer acknowledges that only written and confirmed statements shall be considered valid and binding.
Document Corrections
If V&B Technologies issues any documents containing errors, the company will make necessary corrections. However, such corrections will be made without assuming any legal liability for the original error.
Order Confirmation Requirement
All orders must be formally accepted in writing by V&B Technologies before any processing or delivery can take place. No order shall be considered valid or binding without written confirmation from the Seller.
Product Specifications
Product specifications are as described in V&B Technologies’ official sales documentation. The company reserves the right to modify specifications when necessary, without prior notice, in order to improve quality, performance, or compliance.
Payment Terms
Invoicing
Unless otherwise agreed in writing, V&B Technologies will issue an invoice to the Buyer after dispatching the Goods.
Payment Deadline
The Buyer must pay the full invoiced amount by the due date specified in the Contract. If no specific date is mentioned, payment is due a days from the invoice date. Timely payment is considered a material condition of the agreement. Payment receipts are available upon request.
Limitation of Financial Liability
V&B Technologies shall not be held liable for any financial losses, including but not limited to lost profits, special damages, or indirect costs that may arise in relation to the Goods.
Compliance Responsibility
The Buyer is solely responsible for complying with all applicable legal and regulatory requirements when using, distributing, or reselling the Goods. Any failure to comply will be the sole responsibility of the Buyer, and V&B Technologies accepts no liability for any resulting legal or financial consequences.
Buyer Default
If the Buyer fails to make a payment on time, V&B Technologies reserves the right to take one or more of the following actions:
Cancel the Order or Suspend Deliveries
V&B Technologies may cancel the pending order or suspend any further deliveries to the Buyer until payment is received in full.
Apply Payments at Its Discretion
V&B Technologies may allocate any received payments toward outstanding invoices or orders as it deems appropriate.
Charge Interest on Overdue Amounts
Interest may be charged on any overdue payments at a rate of annum above the prevailing Midland Bank base rate, calculated from the due date until full payment is received.
Cancellation Policy – Terms and Conditions
If the Client chooses to cancel the project after signing the contract or making the initial payment, the following terms will apply:
Billing for Completed Work
Any work completed prior to cancellation will be billed at the hourly rate stated in the contract. If no hourly rate is specified, a standard hourly rate will apply.
Deduction from Initial Payment
The cost of the completed work will be deducted from the initial payment made by the Client.
Refund of Balance
Any remaining amount after deductions will be refunded to the Client.
Additional Charges for Extra Work
If the cost of completed work exceeds the initial payment, the Client is required to pay the remaining balance based on the agreed or standard hourly rate.
Refund Request Process
To request a refund, the Client must submit the request in writing. Verbal or informal cancellation notices will not be considered valid.
